The board is chaired by Dr. Doreen Kosi. The board ensures that an adequate and effective process of corporate governance is established and maintained. It provides strategic leadership and ensures that loveLife’s objectives are met. In executing this mandate, the board has set up a framework that includes a delegation of authority to the Chief Executive Officer, supported by the trust’s internal policies. loveLife’s day to day governance is the responsibility of the organisation’s management team which regularly reports to the various subcommittees of the board.
The board has at least four scheduled board meetings annually. It has also established and delegated specific roles and responsibilities to five standing committees (see below). All committees are chaired by an independent non-executive director. Each committee’s roles and responsibilities are in accordance with the terms of reference/charter approved by the board. These charters are reviewed annually to ensure they remain in line with relevant legislation and regulation as well as remain in line with best practice in corporate governance.
It’s our sound corporate governance that has built our reputation and trust over the years, enabling us to source funding and recruit esteemed South African business people and leaders to serve on our Board. Solid internal policies and good governance are key reasons loveLife has achieved so much since our inception in 1999.
loveLife’s EXCO management team, headed up by our CEO, is responsible for the day-to-day execution of loveLife’s mandate to serve as a platform for young people, activists and partners, to build a better future.
The EXCO management team report regularly to the three subcommittees of the Board: Audit and Risk, Personnel and Remunerations and Fundraising. All committees are chaired by an independent non-executive director.
Each committee’s roles and responsibilities are performed in accordance with a Charter approved by the Board. These are reviewed annually to ensure they remain in line with relevant legislation and regulation and comply with best practice in corporate governance.
